Welcome to ORO, a platform operated by Midcentury Labs Inc. ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our mobile application, websites, and services (collectively, the "Platform").

By accessing or using ORO, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

1. Overview of Services

ORO is a decentralized intelligence platform that enables users to connect external data accounts, complete data-sharing activities ("Quests"), and earn platform-native points in exchange for contributing high-quality private data for use in AI development. The Platform utilizes privacy-preserving cryptographic techniques, including zero-knowledge TLS (zkTLS) and secure compute environments (TEEs), to preserve user data privacy while enabling secure and responsible AI model training.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher, and have the legal capacity to enter into binding agreements to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that all information you provide is truthful and accurate.

3. Account Registration and Security

To access certain features, you must create an account with us. You agree to provide accurate and complete information during registration and to keep your credentials secure and confidential. You are solely responsible for all activities that occur under your account, and you agree to notify us immediately of any unauthorized access or use.

We reserve the right to suspend or terminate accounts suspected of violating these Terms or engaging in suspicious or fraudulent activity.

4. Data Contribution and License

By connecting accounts or participating in Quests, you grant Midcentury Labs Inc. a non-exclusive, worldwide, royalty-free, revocable license to access, process, and use your data solely for the purposes of anonymization, scoring, validation, and privacy-preserving model training. You retain full ownership and control of your raw data at all times.

We do not claim ownership of your data, and we will never sell your raw data to third parties. We process your data strictly within the scope of improving AI models in accordance with our Privacy Policy.

5. Points and Reward System

You may earn ORO Points as a reflection of your data contribution. Points may be redeemable in the future for platform-native rewards, which may include tokens or other benefits, at our discretion. Earning and redemption mechanisms are subject to change.

Points do not constitute a currency or security and have no cash value unless and until converted to a redeemable reward through an authorized mechanism provided by us. We do not guarantee that any specific number of Points will result in any specific value or reward.

6. Privacy and Data Security

We are committed to safeguarding your personal information and data. Our Platform integrates advanced privacy technologies such as zkTLS and TEEs to ensure that raw data is never exposed during model training. We implement robust technical and organizational safeguards to prevent unauthorized access, use, or disclosure of your information.

7. Acceptable Use Policy

You agree not to:

• Provide inaccurate or misleading information or data;

• Circumvent, disable, or interfere with security features;

• Upload or transmit viruses, malware, or other harmful code;

• Engage in any activity that may disrupt or degrade the integrity or performance of the Platform;

• Use automated scripts or bots without express authorization;

• Violate any applicable law or regulation.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including terminating access to the Platform.

8. Intellectual Property Rights

All content and materials on the Platform, including but not limited to software, text, graphics, logos, and trademarks, are the proprietary property of Midcentury Labs Inc. or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted in writing, you may not copy, reproduce, republish, modify, or distribute any portion of the Platform. Any unauthorized use may result in termination of access and possible legal action.

9. Termination and Suspension

We may suspend or terminate your account or access to the Platform at any time, with or without cause or notice, including if you breach these Terms, violate applicable law, or engage in conduct that we determine, in our sole discretion, to be harmful.

Upon termination, your license to use the Platform will immediately cease, and your access to any data, Points, or features may be revoked. Sections that by their nature should survive termination shall survive, including but not limited to disclaimers, limitations of liability, and indemnity obligations.

10. Disclaimers

THE PLATFORM AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF THE PLATFORM IS AT YOUR OWN RISK. NO INFORMATION OR ADVICE OBTAINED FROM US OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIDCENTURY LABS INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR GOODWILL ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS, IF ANY.

12. Indemnification

You agree to indemnify, defend, and hold harmless Midcentury Labs Inc. and its affiliates, officers, agents, partners, and employees from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (i) your use of the Platform; (ii) your violation of these Terms; or (iii) your violation of any third-party rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree that any disputes arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of such courts.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will become effective immediately upon posting to the Platform. Your continued use of the Platform constitutes acceptance of the revised Terms.

If we make material changes, we will use reasonable efforts to notify you, such as through email or platform notification.

15. Entire Agreement

These Terms constitute the entire agreement between you and Midcentury Labs Inc. with respect to your use of the Platform and supersede all prior or contemporaneous understandings. Any failure by us to enforce a provision shall not be deemed a waiver of our rights.
